Weaporize, LLC Beta Tester Agreement
This Beta Tester Agreement ("Agreement") is a legally binding contract between Weaporize, LLC ("Weaporize," "we," "us," or "our"), and you ("Beta Tester," "you," or "your"). This Agreement governs your participation in the Weaporize Beta Testing Program ("Program") and your use of any pre-release products, including hardware, accessories, or related materials ("Beta Product"), provided to you for testing purposes.
By creating an account on weaporize.com, verbally or digitally expressing interest, accepting, downloading, accessing, or using the Beta Product, or replying to confirm participation, you agree to be bound by the terms of this Agreement. If you do not agree to all terms, you may not participate in the Program or use the Beta Product.
1. Eligibility and Account Creation
1.1 To participate, you must create a customer account on weaporize.com ("Account") and provide accurate, complete, and current information, including your full name, email address, phone number, and shipping address.
1.2 You must be at least 18 years old and have the legal capacity to enter into this Agreement.
1.3 You represent and warrant that you are legally permitted to possess, use, and test the Beta Product in your jurisdiction, and that the Beta Product is legal in your state. If it is determined that possession or use is not legal in your jurisdiction, you are not eligible and must not participate or use the Beta Product.
1.4 You must possess a functioning compatible weapon/system capable of safely firing the requisite ammunition for testing the Beta Product. You must supply your own ammunition.
1.5 You agree to maintain the security of your Account and notify Weaporize immediately of any unauthorized access or use. You must notify Weaporize of any changes to your phone number or address during the Program.
2. Marketing and Program Communications
2.1 By participating, you agree to receive emails and other communications from Weaporize related to the Program, Beta Product, updates, feedback requests, or product return instructions.
2.2 You may opt out of marketing emails at any time via unsubscribe links, but this will not affect necessary Program-related communications.
3. Beta Product License and Use
3.1 Subject to this Agreement, Weaporize grants you a limited, nonexclusive, nontransferable, revocable license to use the Beta Product solely for testing and evaluation during the Testing Period.
3.2 You may conduct any reasonable tests (e.g., function, reliability under rapid fire, durability, drop tests, environmental exposure, extended round count, compatibility, comparisons), provided all testing is performed safely and in full compliance with all applicable federal, state, and local laws. Weaporize does not dictate specific protocols; thoroughness, creativity, and real-world scenarios are encouraged.
4. Feedback and Review Obligations
4.1 You agree to provide comprehensive, honest feedback within 14 calendar days of taking physical possession of the Beta Product, including:
- Written comments / detailed review
- Photographs (showing condition, wear, features, etc.)
- Video footage (strongly encouraged, especially demonstrating function, reloads, any failure modes, etc.) (collectively, “Review Materials”).
4.2 Submit all Review Materials to sales@weaporize.com or beta@weaporize.com (as directed).
4.3 Failure to provide timely and complete feedback may result in forfeiture of post-testing benefits.
5. Ownership and Rights to Review Materials
5.1 All Review Materials become the sole property of Weaporize upon submission.
5.2 Weaporize shall have the perpetual, worldwide, royalty-free, irrevocable right to use, reproduce, modify, distribute, publicly display, and create derivative works from the Review Materials for any purpose, including product development, marketing, advertising, social media, website content, catalogs, and promotions.
5.3 When submitting Review Materials, indicate your attribution preference:
- Option A: Credit me publicly (specify preferred name / X handle / username / etc.)
- Option B: Credit me privately (use only first name or initials)
- Option C: Do not use my name or handle publicly If no preference is specified, Weaporize may use the materials without attribution.
6. Confidentiality
6.1 The Beta Product, Program details, related materials, and any information provided by Weaporize ("Confidential Information") are proprietary and confidential.
6.2 You agree not to disclose, publish, share, copy, reverse engineer, or otherwise make available Confidential Information to any third party without Weaporize’s prior written consent, except as required by law.
6.3 Confidentiality obligations survive termination until the information becomes publicly known through no fault of your own.
7. No Warranty, Assumption of Risk, and Limitation of Liability
7.1 The Beta Product is provided "AS IS" and may contain defects, errors, or incomplete features. Weaporize makes no warranties, express or implied, regarding performance, reliability, safety, or fitness for any purpose.
7.2 You assume all risks associated with use, including data loss, equipment damage, personal injury, or other losses. Weaporize is not obligated to provide support, updates, repairs, returns, refunds, exchanges, or warranty replacements.
7.3 To the maximum extent permitted by law, Weaporize shall not be liable for any direct, indirect, incidental, special, consequential, or other damages arising from your participation or use of the Beta Product.
8. Post-Testing Benefits and Conditions
8.1 Upon completion of testing and timely submission of Review Materials, you may permanently keep the Beta Product. 8.2 You will receive a 10% discount code valid for future purchases of the Beta Product (or successor versions) for 6 months following receipt of your completed submission.
9. Termination
9.1 This Agreement terminates at the end of the Testing Period (as specified by Weaporize) or earlier by either party.
9.2 Weaporize may terminate your participation at any time, with or without cause, upon notice.
9.3 You may terminate by providing written notice and returning the Beta Product (if requested) at your expense.
9.4 Upon termination, you must immediately cease use, return the Beta Product (if Feedback was not provided or as requested), and destroy or return any Confidential Information.
10. Intellectual Property 10.1 Weaporize retains all right, title, and interest in the Beta Product and Confidential Information, including all intellectual property rights. 10.2 You acquire no rights, title, or licenses except the limited testing license granted herein.
11. Governing Law and Dispute Resolution 11.1 This Agreement is governed by the laws of the State of North Carolina, without regard to conflict of laws principles. 11.2 Any disputes shall be resolved exclusively in the state or federal courts located in Wake County, North Carolina. You consent to the exclusive jurisdiction and venue of such courts.
12. Miscellaneous
12.1 This Agreement constitutes the entire understanding and supersedes all prior agreements.
12.2 You may not assign or transfer this Agreement without Weaporize’s prior written consent. Weaporize may assign it freely.
12.3 If any provision is invalid or unenforceable, the remainder remains in effect.
12.4 No waiver of any right is effective unless in writing.
12.5 Notices must be in writing and sent to Weaporize at beta@weaporize.com or the address provided, or to you at your Account contact information. 12.6 Participation is voluntary and at Weaporize’s sole discretion. Weaporize may select participants, limit numbers, or terminate participation at any time.
Acknowledgment By participating in the Program, accepting or using the Beta Product, or submitting the required confirmation (including your attribution preference and shipping details if requested), you acknowledge that you have read, understood, and agree to be bound by this Agreement. You represent that you are over 18 years of age, have the authority to enter into this Agreement, and will comply with all terms.
